SCALE Connect Directory provides a platform for businesses to list their products and services and connect with potential customers. Our goal is to foster a transparent and reliable marketplace.

These Terms of Service are designed to protect both our platform and our users by setting clear expectations and outlining the rules of engagement.

Eligibility
To create a listing on the Platform, you must be a legally registered business or a person authorized to act on its behalf. You must also be at least 18 years of age.

Account Information
You agree to provide accurate, current, and complete information during registration and to keep it updated.

You are responsible for maintaining the confidentiality of your account password and for all activities that occur under your account. You must notify us immediately of any unauthorized use of your password or account.

Single Account
A business may only create one account. We may consolidate or terminate multiple accounts for the same business at our discretion.

Accuracy and Truthfulness
You are solely responsible for all content you submit to the Platform, including company descriptions, product information, images, videos, and contact details (“Listing Content”). You warrant that all Listing Content is accurate, truthful, and not misleading.

Intellectual Property
You represent and warrant that you own or have the necessary licenses, rights, consents, and permissions to use and authorize us to use all intellectual property in your Listing Content.

By submitting Listing Content, you grant the SCALE Rentals Organization a non-exclusive, worldwide, royalty-free, perpetual, irrevocable, sub-licensable, and transferable license to use, reproduce, distribute, prepare derivative works of, display, and perform the Listing Content in connection with the Platform and our business. This includes promoting and redistributing the Platform (or derivative works) in any media format.

Prohibited Content

You agree not to submit any Listing Content that: a) Is false, misleading, or deceptive. b) Is illegal, fraudulent, or promotes illegal activities. c) Is harassing, libelous, defamatory, abusive, or threatening. d) Is obscene, pornographic, or sexually explicit. d) Infringes on any third party’s intellectual property, privacy, or other proprietary rights. e) Contains viruses, malware, or other malicious code. f) Violates any applicable law, rule, or regulation. g)Is a form of “spam,” unsolicited advertising, or unauthorized commercial communication.

Content Review
We reserve the right, but are not obligated, to review, edit, or remove any Listing Content at our sole discretion and without notice, for any reason, including violations of these Terms.

Platform Intellectual Property
All content, features, and functionality on the Platform, including text, graphics, logos, images, and software, are the exclusive property of SCALE Rentals Organisation, and are protected by EU trademark.

You may not use, reproduce, or distribute any part of the Platform without our express written consent.

Listing Company Content
You retain ownership of all intellectual property rights in your Listing Content. However, by submitting content, you grant SCALE Rentals Organisation a non-exclusive, worldwide, royalty-free, perpetual, irrevocable, sub-licensable, and transferable license to use, reproduce, distribute, display, and perform the Listing Content for the purpose of operating, promoting, and improving the Platform.

Compliance with Laws
You are solely responsible for ensuring that your business, products, and services comply with all applicable local, national, and international laws, regulations, and industry standards. This includes, but is not limited to, consumer protection laws, product safety regulations, and data privacy laws.

Transactions and Disputes

You acknowledge that SCALE Connect (property of the SCALE Rentals Organisation) is a directory and not a party to any transactions between you and your customers.

The SCALE Rentals Organisation has no responsibility or liability for any products or services you sell or provide, or for any disputes that may arise. You are responsible for handling all customer inquiries related to your products and services.

Term and Renewal
Subscriptions are valid for one year from the date of purchase and will automatically renew for an additional 12-month term unless you cancel. To cancel, you must notify us in writing at [email protected] at least 10 business days before your renewal date.

Fees and Payment
Full payment is required at the time of registration. Subscription fees are charged annually in advance and are non-refundable once the listing is live. While basic listings are free, premium features require payment. All fees for such services will be clearly stated on the Platform. We reserve the right to change our fees and payment policies at any time, with notice provided to you.

Cancellation and Refunds
You may cancel your subscription at any time, but no refunds will be issued for the unused portion of the annual term. To avoid automatic renewal, notice must be given at least 10 business days before the renewal date.

Content Management
You are responsible for the accuracy, legality, and relevance of the content in your listing. Information should be kept up-to-date, and any changes to your services, contact details, or offerings should be reflected promptly.

We reserve the right to review, edit, or remove content that is misleading, inappropriate, or in violation of industry standards or legal regulations.

Platform Updates
We may update or redesign the Partner Directory platform at any time, including adjustments to layout, filters, and search functionality. Listing order may be influenced by your selected plan and other platform criteria.

Accurate Information
You must provide accurate, current, and complete information during registration and for your listing. Providing false, misleading, or fraudulent information is strictly prohibited.

No Abusive Behavior
You agree not to engage in any form of misconduct, including but not limited to:
a) Spamming or sending unsolicited listings to other users. b) Using abusive, harassing, defamatory, or obscene language. c) Impersonating any person or entity. d) Attempting to interfere with the Platform’s operation or security.

Unauthorized Use
Any unauthorized use of the Platform, including the collection of other users’ data or the use of automated scripts to scrape data, is a violation of these Terms.

Enforcement
We reserve the right to take action against any Listing Company that violates these rules, including temporary or permanent suspension of the account, removal of listings, and legal action if necessary.

Disclaimer
The Platform is provided on an “as is” and “as available” basis. The SCALE Rentals Organisation makes no warranties, express or implied, regarding the platform or the services provided. We disclaim all warranties, including but not limited to, the implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not guarantee that the Platform will be uninterrupted, error-free, or secure.

No Consequential Damages
To the fullest extent permitted by law, in no event shall the SCALE Rentals Organisation, its affiliates, officers, employees, agents, or partners be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill, resulting from your use of or inability to use the Platform.

Total Liability
Our total cumulative liability to you for any claims arising from or relating to the use of the Platform will not exceed the greater of the fees you have paid to the SCALE Rentals Organisation in the three (3) months preceding the event giving rise to the claim (if paid monthly) or a quarter of the annual subscription fee (if paid yearly).

You agree to indemnify the SCALE Rentals Organisation and its affiliates, officers, directors, employees, agents, and licensors from and against any claims, liabilities, damages, and expenses, including reasonable legal fees, arising out of or in any way connected with: a) Your access to or use of the Platform. b) Your violation of these Terms. c) Your Listing Content, including any claims that your content infringes on a third party’s rights. d) Your products or services listed on the Platform. e) Any disputes between you and your customers.

Governing Law
These Terms shall be governed by and construed in accordance with the laws of Gibraltar without regard to its conflict of law provisions.

Dispute Resolution
Any disputes arising out of or relating to these Terms shall be resolved exclusively in the courts located in Gibraltar.

Entire Agreement
These Terms constitute the entire agreement between you and SCALE Rentals Organisation regarding your use of the Platform and supersede all prior agreements.

Severability
If any provision of these Terms is found to be invalid or unenforceable, that provision will be limited to the minimum extent necessary, and the remaining provisions will remain in full force and effect.

Waiver
Our failure to assert any right or provision under these Terms shall not constitute a waiver of such right or provision.

Changes to Terms
We reserve the right to modify these Terms at any time. We will notify you of any changes by posting the new Terms on the Platform. Your continued use of the Platform after such changes constitutes your acceptance of the new Terms.

Termination by You
You may terminate your account at any time by contacting the SCALE Connect team. Termination will be effective immediately, but any fees paid are non-refundable.

Termination by Us
We may suspend or terminate your account and/or listing at our sole discretion, with or without notice, for any reason, including a breach of these Terms, non-payment of fees, or if we believe your actions may cause legal liability for us or other users.

Effect of Termination
Upon termination, your right to use the Platform will cease immediately. All provisions that should logically survive termination, such as intellectual property ownership provisions, warranty disclaimers, indemnity, and limitations of liability, will remain in effect.

SCALE Connect is an open-to-all online directory designed to foster trust and collaboration by bringing businesses and consumers together. Our platform, including all related websites, sub-domains, and apps, is built on transparency.

Before using our platform, we ask that you read these Terms of Use (referred to as the “Terms”). They explain what we expect from you and what you can expect from us. By browsing, accessing, or using our platform in any way, you agree to be bound by these Terms. If you do not agree, you must not use our platform. These Terms also incorporate our Privacy Policy, which explains how we handle the data we collect.

When we refer to “you” or “your”, we mean the individual or business using our platform. “SCALE Connect”, “we”, “our”, or “us” refers to the SCALE Rentals Organisation with whom you are contracting.

Your Responsibilities
To ensure a safe and positive environment for everyone, you must adhere to the following rules: a) You must be at least 18 years old. b) You must not compromise the security or integrity of our platform. c) You must not use our platform in a way that impairs its functionality or interferes with other users. d) You must not modify, copy, reverse engineer, or extract the source code of any part of our platform. e) You must not act abusively or disrespectfully toward any SCALE Connect employee, partner, or other users. f) You must not use our platform to develop a competing service. g) You must not link to our platform in a way that suggests an endorsement where none exists. h) You must not sell, license, or commercially exploit any part of our platform, except for your own user-generated content. i) You must not use automated tools, such as web scraping or data mining, to access or collect content from our platform without our express permission. This includes using our content for training artificial intelligence systems.

What We Own
Unless otherwise stated, all intellectual property rights in our platform belong to or are licensed to SCALE Connect. This includes copyrights, patents, trademarks, design rights, and our platform’s overall design and compilation (together, the “intellectual property rights”). You agree not to copy, distribute, or modify any part of our platform or our intellectual property without our explicit permission.

Platform Activity Data
We may collect and analyze data related to your use of our platform, such as metrics and analytics. All rights to this “platform activity data” belong exclusively to us. We may use this data for any lawful purpose, including improving our services, developing new features, and conducting analyses.

Your Feedback

Over the next few months, SCALE Connect will be integrated into a larger platform. As a result, some or all platforms’ features may become exclusively available to registered users. These features will still be part of a free and unlimited usage model.
